Registers
UK Private Limited Liability Company
Following incorporation a
private UK
limited liability company has a statutory duty to maintain and preserve a number
of documents, company statutory books and registers. In addition to the
certificate of incorporation, memorandum and articles of association, board and
general meeting minutes, signed directors' reports and accounts and auditors
reports the directors are also responsible for the following statutory books
which are available from our order page as part of the company secretarial
bundle.
Note: The
company secretarial bundle is supplied as standard with the DIY Accounting
UK limited liability company formation completion service but is not included in
the limited company formation document pack. The company secretarial bundle
includes share certificates plus the following statutory books in one easy to
keep and maintain excel spreadsheet file.
Register
of Members:
A statutory register of members
is required and included in the company secretarial bundle. This statutory
book is a record of the limited liability company members names, addresses with
details of the shareholding of each including dates, the class of shares issued
and share certificate serial numbers.
Register
of Directors and Secretaries:
The statutory register of
directors and secretaries contains details of the officers of the company, full
names, addresses and appointment details.
Register
Of Directors interests
A statutory register of
directors other interests including directorships, significant interests and
other relevant information.
Register
of charges and debentures
This statutory register is a
record of the charges, mortgages and debentures issued or entered into by the
company in relation to the assets which have been so charged and the terms on
which those charges have been agreed.
While in
practise many small limited liability company might pay little attention to
these statutory registers they are a legal requirement and should not be taken
lightly with every officer including the company being liable to fines and
penalties if they are not kept.

Share
Certificate Register
UK Limited Liability Company Formation
Companies House do not issue a
share certificate when a limited liability company is formed. Issuing a share
certificate is the responsibility of the Company secretary. The share
certificate may be completed in handwriting, typeset or via electronic
means. The essential elements of a share certificate are the name of the
limited liability company, the serial number of the share certificate, name of
the registered holder, number and full description of the shares to which the
share certificate relates. The share certificate should also state the date each
share certificate was issued.
The UK limited company formation
document pack does not include a share certificate.
The UK limited company formation
completion service does contain a share certificate. Following incorporation and
receipt of the incorporation certificate from Companies House clients of our ltd
company formation service notify us by email of the name of the limited
liability company and the incorporation number following notification of
which DIY Accounting issue both a share certificate to each of the subscribers
to the memorandum of association and a blank share certificate for future use.
In addition to share certificate (s) the ltd company formation service as

statutory register. These statutory books include a share certificate register.
