Companies House Form 10 - First directors and secretary and intended situation of registered office

Every company must have formally appointed company officers at all times.

A private limited liability company must have at least:

  • one director - but the company's articles of association may require more than one.
  • one secretary - formal qualifications are not required. A company's sole director cannot also be the company secretary.

Information required for incorporation and completion of Companies House  Form 10 is:

Name of the company after you have completed the name check to ensure the proposed name is available, the proposed registered office, PO box number only are not acceptable.

Name, address and particulars, date of birth, business occupation and nationality of the first directors of the company who must sign this form to consent to act as directors. If additional space is required for more than 2 directors or joint secretaries there is a Companies House Form 10 continuation sheet that can be used or photocopy page 2 of Companies House Form 10.

Name, address and particulars, date of birth, business occupation and nationality of the company secretary of the company who must sign this form to consent to act as company secretary on incorporation.

It is recommended that all addresses and post codes are double checked on the Royal Mail website as errors may lead to the documents being rejected by Companies House and incorporation would then fail.

Companies must have at least one director and one company secretary. A sole director may not also be the company secretary while if there are two or more directors one of those directors can also act as the company secretary.

The form also has to be signed by the subscriber(s) to the Memorandum of Association.

Companies House Form 12 - Declaration on application for registration and incorporation

This form is a formal declaration that the requirements of the Companies Act 1985 have been complied with regarding the formation and incorporation of the company. It can be signed by a solicitor engaged in the formation of the company but does not have to be.

Companies House form 12 may for example be signed by a proposed director or company secretary. If the person signing Companies House form 12 is outside the UK when signing then his/her signature must be witnessed by a Notary Public.

The date on Companies House form 12 must be the same or later than the dates on Companies House form 10 as Companies House Form 12 is a declaration that Companies House form 10 is correct.

Company House Registration Fees on Incorporation

The standard Company House  registration fee is £20, while the premium Company House registration service costs £50 when incorporation is required on the same day as Companies House receive the company formation documents, if they are hand delivered before 3pm. Posted applications cannot be given the same guarantee although, in most cases, Companies House will register the application on the same day of receipt.
