Incorporation Certificates       UK Limited Liability Company Formation

Following incorporation of your limited liability company  Companies House send the incorporation certificate to the new limited liability company's registered office. The incorporation certificate should be displayed at the limited companies registered office. When opening a bank account for the new limited liability company banks normally require sight of the  incorporation certificate as a limited liability company is in effect a new corporate person with the incorporation certificate in effect being the limited liability company's birth certificate.

Incorporation certificates contain details of the new company name, incorporation number and date of incorporation.

Share Certificate        UK Limited Liability Company Formation

Companies House do not issue a share certificate when a limited liability company is formed. Issuing a share certificate is the responsibility of the Company secretary. The share certificate  may be completed in handwriting, typeset or via electronic means. The essential elements of a share certificate  are the name of the limited liability company, the serial number of the share certificate, name of the registered holder, number and full description of the shares to which the share certificate relates. The share certificate should also state the date each share certificate was issued.

The UK limited company formation document pack does not include a share certificate.

The UK limited company formation completion service does contain a share certificate. Following incorporation and receipt of the incorporation certificate from Companies House clients of our ltd company formation service notify us by email of the name of the limited liability company  and the incorporation number following notification of which DIY Accounting issue both a share certificate to each of the subscribers to the memorandum of association and a blank share certificate for future use. In addition to share certificate (s) the  ltd company formation service as opposed to the ltd company formation document pack also provides the the statutory register. These statutory books include a share certificate register.

As an additional incorporation service clients can order the secretarial bundle whether they have used our UK limited company formation services relating to the incorporation or not. This company secretarial bundle includes share certificate and statutory registers including the share certificate register. Applicants ordering this service will be directed to a page following payment requesting the information to be entered on the share certificate (s) and also the information required for the share certificate register and other statutory registers as required.

The share certificate and statutory books  normally being emailed as attachments within 24 hours to complete your incorporation.
